The Role:
We are looking for a strong Volunteer Legal Counsel to review, advise and negotiate client (generally enterprise technology companies), vendor (includes engineering outsourcing and consulting firms) and grantor (major foundations) contracts. Working across departments (Sales, Delivery, HR, Development etc.) and reporting into the VP of Business Operations, the ideal candidate will also advise Samasource on the various risks, business strategies and other issues related to commercial deals.
Contract reviews can be completed remotely at anytime of the day. Meetings in blocks of 1 hour will normally be scheduled at least 24 hours in advance and within your schedule limitation. This is a part-time volunteer position. Monthly commitment can range from 2-15 hours a month, depending upon contract volume.
Experience Requirements:
- 8+ years commercial transactions experience working with outsourcing, software or SaaS in a corporate or legal firm
- JD degree or equivalent with excellent academic credentials preferred
- Background in drafting and negotiating services agreements and sales contracts
- Superlative written and oral communication skills in English
- Experience with donor/foundation contracts a plus
