PND Connections - Conference Board's Commission on Public Trust and Private Enterprise
Convened in June 2002 with financial support from the Pew Charitable Trusts, the Conference Board Commission on Public Trust and Private Enterprise has released its final report (46 pages, PDF). Many of the commission's suggestions, such as separating the positions of chairman and chief executive officer, encouraging frequent board meetings, and evaluating the performance of the overall board as well as each individual director, are aimed at strengthening the role of a company's independent board of directors. The Conference Board, an economic and business research organization, formed the twelve-member commission last year to address the recent scandals in corporate America and the resulting decline in public and investor confidence trust in public companies, corporate leaders, and America's capital markets. The commission's first report (14 pages, PDF), released in September, focused on principles and best practices for executive compensation.
